"Project" refers to any specific engagement agreed upon between Purple Dog and a Client.

Purple Dog Technologies provides professional technology services including website development, mobile apps, AI integration, consulting, and hosting.

4. Client Obligations

By engaging our services, you agree to provide accurate information, timely feedback, pay fees as agreed, and use our services in compliance with applicable laws.

5. Intellectual Property Rights

You retain ownership of materials you provide. We retain ownership of our pre-existing intellectual property. Upon full payment, custom Deliverables transfer to you.

6. Payment Terms

Payment terms will be specified in your project proposal. Invoices are payable within 14 days. All prices are in South African Rand unless otherwise specified.

7. Warranties and Disclaimers

We warrant professional service delivery. However, services are provided "as is" without warranty of specific business results.

8. Limitation of Liability

Our total liability shall not exceed fees paid for the specific Project. We are not liable for indirect or consequential damages.

9. Indemnification

You agree to indemnify Purple Dog from claims arising from your breach of these Terms or use of our Services.

10. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during our engagement.

11. Termination

Either party may terminate with written notice. You shall pay for work completed up to termination.

12. Website Use

You agree not to interfere with website functionality or use it for unlawful purposes.

13. Third-Party Services

Our Services may integrate with third-party platforms. Your use of such services is subject to their terms.

14. Hosting Services

We use reasonable efforts to maintain uptime but do not guarantee uninterrupted service.

15. Force Majeure

Neither party is liable for delays due to circumstances beyond reasonable control.

16. Governing Law and Jurisdiction

These Terms are governed by South African law. Disputes are subject to KwaZulu-Natal courts.

17. Dispute Resolution

Parties agree to attempt good faith negotiation before legal proceedings.

18. General Provisions

These Terms constitute the entire agreement. Invalid provisions do not affect the rest. Rights may not be assigned without consent.
